1. Acceptance of Terms — By Access or Use

By visiting, browsing, accessing, or using any part of Host AI Suite (the "Platform"), whether or not you create an account, you unconditionally agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional guidelines or policies posted on the Platform. If you do not agree to these Terms in their entirety, you must immediately leave the Platform and cease all use. Your continued access to or use of the Platform — including any single page view, API call, or automated request — constitutes your full and irrevocable acceptance of these Terms. No signature, click-through, or affirmative acknowledgment is required for these Terms to be binding.

These Terms apply equally to human visitors, registered users, automated systems, bots, crawlers, scrapers, AI agents, and any other entity that accesses or interacts with the Platform or its underlying infrastructure in any manner.

2. Eligibility

You must be at least 18 years old and have full legal authority to enter into binding agreements on behalf of yourself or the organization you represent. By using the Platform, you represent and warrant that you meet these requirements. Access by automated systems on behalf of an organization constitutes that organization's agreement to these Terms.

3. Services

We provide tools that convert business card information into a hosted website, along with optional design, domain, and subscription management features.

3.1 AI-Assisted Website Generation

• Submit accurate information, assets, and preferences when requesting a website build.
• Review and approve generated content before publishing it publicly.
• Understand that AI-generated material may require editing to meet your brand or compliance needs.

3.2 User Responsibilities

• You are responsible for ensuring you have the necessary rights to any content you upload.
• Do not submit unlawful, harmful, or infringing materials.
• Do not attempt to disrupt, probe, or misuse our systems.
• Comply with all applicable laws and industry regulations.

3.3 Content Standards

We reserve the right to decline, remove, or edit any content that violates these Terms or impacts platform stability, including but not limited to:

• Material that is deceptive, defamatory, or fraudulent.
• Content that infringes on intellectual property or privacy rights.
• Malicious code, spam, or security threats.
• Content that promotes hatred, discrimination, or violence.
• Sensitive or regulated data submitted without proper safeguards.
• Any content we determine to be inappropriate or harmful to our platform or users.

4. Intellectual Property — No Unauthorized Use or Reproduction

4.1 Platform Ownership

Host AI Suite, its parent entity, and its licensors retain exclusive ownership of all right, title, and interest in and to the Platform, including without limitation:

• All source code, object code, compiled code, scripts, and executables;
• All user interface (UI) designs, layouts, visual elements, icons, graphics, and stylesheets;
• All workflows, algorithms, data models, prompts, and AI pipeline logic;
• All trademarks, service marks, logos, and branding;
• All documentation, copy, and instructional content;
• All AI-generated outputs produced by or through the Platform's own systems.

Nothing in these Terms grants you any ownership interest in the Platform or its technology. You retain ownership of the original business card content and data you submit; the generated websites produced for your account are licensed to you for personal or business use only and may not be sublicensed, resold, or used as a basis for a competing service.

4.2 No Swiping — Prohibited Copying, Reverse Engineering, and Scraping

You may not, under any circumstances, directly or indirectly:

• Copy, reproduce, download, capture, archive, or store any portion of the Platform's source code, front-end code, back-end code, database schemas, API structure, or compiled output;
• Reverse engineer, decompile, disassemble, deobfuscate, or otherwise attempt to derive the source code, underlying logic, algorithms, or architecture of any part of the Platform;
• Replicate, clone, or substantially imitate the Platform's user interface, visual design, user experience flows, or functional structure in any product, service, or project;
• Use any automated tool — including but not limited to web scrapers, crawlers, bots, headless browsers, AI training pipelines, or data harvesting agents — to extract, index, or aggregate content, code, UI patterns, or data from the Platform;
• Frame, mirror, or inline-link to any part of the Platform in a manner that suggests affiliation or reproduces its interface;
• Use the Platform's outputs, design patterns, or functionality as a reference or template for building a competing or derivative product;
• Train, fine-tune, or otherwise incorporate any content, outputs, or structural elements of the Platform into any machine learning model or AI system without our express written permission.

These restrictions apply to human visitors and to all automated systems, regardless of the stated purpose of access. The existence of publicly accessible HTML, CSS, JavaScript, or API responses does not constitute permission to copy or repurpose them. Accessing the Platform for competitive intelligence, feature benchmarking, or dataset collection purposes is expressly prohibited.

Violation of this section constitutes both a breach of these Terms and misappropriation of trade secrets and proprietary information, and may give rise to injunctive relief, statutory damages, and other legal remedies available under applicable law, including the Copyright Act, the Computer Fraud and Abuse Act, and equivalent legislation in other jurisdictions.

5. Accounts

5.1 Account Registration

When you register, you agree to provide accurate, current, and complete information and keep it updated.

• Maintain unique login credentials for each authorized user.
• Notify us promptly of unauthorized access or suspicious activity.
• Remain responsible for all actions taken through your account.
• Ensure your team members comply with these Terms.
• Do not share credentials outside your organization.

5.2 Account Security

We take reasonable measures to protect the Platform, but you are responsible for implementing industry-standard safeguards on your end:

• Use strong passwords and multi-factor authentication where available.
• Keep your devices and browsers updated.
• Review account activity regularly.

6. Pricing and Payments

6.1 Subscription Plans

Service fees, billing frequency, and inclusions are described on our Pricing page and may change with reasonable notice. Taxes and transaction fees may apply.

6.2 Billing Authorization

By subscribing, you authorize us and our payment partners to charge the provided payment method for recurring fees until you cancel in accordance with these Terms.

7. Cancellations and Refunds

7.1 Cancellation Requests

• You may cancel a subscription through your dashboard or by contacting support.
• Cancellation becomes effective at the end of the current billing cycle unless stated otherwise.
• We may suspend or terminate services if invoices remain unpaid.

7.2 Refund Policy

• Fees paid are generally non-refundable.
• Refunds may be issued at our discretion where required by applicable law.
• We are not responsible for third-party fees or currency fluctuations.

8. Third-Party Services

Our services may integrate with third-party providers such as hosting, payment, or domain registration partners. Their terms and privacy policies govern your use of those services, and we are not liable for their acts, omissions, or failures.

9. Data and Privacy

9.1 Data Use

We collect, process, and store information in accordance with our Privacy Policy to deliver and improve the service.

9.2 Communications

By using the Platform, you consent to receive transactional messages and service announcements. You can adjust marketing preferences in your account settings.

10. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted availability. We do not guarantee specific business outcomes or the accuracy of AI-generated content.

11. Limitation of Liability

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms, the Platform, or any services provided hereunder — regardless of the form of action — is limited to the fees you actually paid to us in the twelve (12) months immediately preceding the claim. In no event shall we be liable for any indirect, incidental, consequential, punitive, or special damages, even if advised of their possibility.

12. Indemnification

You agree to defend, indemnify, and hold harmless Host AI Suite and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your content; (b) your use or misuse of the Platform; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party right.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Changes take effect upon posting to the Platform. Your continued access or use of the Platform after changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in British Columbia, Canada for any disputes arising under these Terms.
